Terms of Service

Governing your use of Host443's dedicated hosting services.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Mantidae LLC, operating as Host443 ("Host443," "we," "us," or "our"), governing your use of our dedicated hosting, GPU server, dedicated storage, and reverse proxy VPN services (collectively, the "Services"). By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

1. Services Provided

Host443 provides dedicated server hosting solutions, including:

  • Dedicated Servers: Full physical servers with root access, dedicated CPU, RAM, and storage.
  • GPU Servers: Dedicated servers equipped with NVIDIA GPUs for accelerated computing.
  • Dedicated Storage: Private storage solutions, including NAS systems with configurable RAID.
  • Reverse Proxy VPN: A service offering a VPN endpoint and a public-facing reverse proxy with SSL and redirection support to expose self-hosted web services securely and obscure true hosting locations.

All Services are provided on a bare-metal basis, meaning you have full control over the operating system and software installed on your dedicated hardware.

2. Account Creation and Eligibility

  • To use our Services, you must register for an account and provide accurate, complete, and current information.
  • You must be at least 18 years of age or the legal age of majority in your jurisdiction to enter into this agreement.
  • You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account.

3. Client Responsibilities

  • You are solely responsible for the content and data stored on your server and for all activities conducted through your Services.
  • You agree to comply with all applicable local, state, national, and international laws and regulations in connection with your use of the Services.
  • You must adhere to our Acceptable Use Policy (AUP), which is incorporated by reference into these Terms.
  • You are responsible for the security of your server, including patching, updates, and firewall configurations, unless otherwise explicitly agreed upon as a managed service.

4. Payment and Billing

  • All Services are billed in advance on a recurring basis (e.g., monthly, quarterly, annually) as per your chosen plan.
  • Payment is due on the invoice date. Services may be suspended or terminated for non-payment.
  • All fees are non-refundable unless otherwise explicitly stated in writing by Host443 or required by applicable law.
  • Host443 reserves the right to change prices for Services upon reasonable notice.

5. Service Level Agreement (SLA)

Our commitment to service availability and performance is outlined in our Service Level Agreement (SLA), which is incorporated by reference into these Terms. The SLA details our uptime guarantees and the remedies available in case of service interruptions.

6. Data Ownership and Content

  • You retain full ownership of all data and content stored on your dedicated server or storage device.
  • Host443 does not access, monitor, or control the content on your servers unless required for technical support requested by you, or by valid legal process.
  • Upon termination of Services, you are responsible for retrieving your data. Host443 will securely wipe all data from decommissioned drives using industry-standard methods (e.g., DoD 5220.22-M) to ensure irrecoverable data destruction, unless you choose to purchase the drive.
  • Legal Adult Content: Host443 permits the hosting of legal adult content, provided it complies with all applicable laws and our Acceptable Use Policy.

7. Prohibited Activities

You agree not to use the Services for any purpose that is unlawful or prohibited by these Terms or the AUP. Prohibited activities include, but are not limited to, those outlined in our Acceptable Use Policy.

8. Suspension and Termination of Services

  • Host443 reserves the right to suspend or terminate your Services immediately, without prior notice, if you violate these Terms, the AUP, or any applicable law.
  • Suspension or termination for violation may result in the forfeiture of any fees paid.
  • You may terminate your Services at any time by providing written notice to Host443 according to our cancellation policy.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HOST443 DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HOST443, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

11. Indemnification

You agree to defend, indemnify, and hold harmless Host443, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Services.

12. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Las Vegas, Nevada.

13. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.

Acceptable Use Policy

Ensuring a secure and responsible hosting environment for all.

This Acceptable Use Policy ("AUP") outlines the permissible and prohibited uses of the services provided by Mantidae LLC, operating as Host443 ("Host443," "we," "us," or "our"), including dedicated hosting, GPU server, dedicated storage, and reverse proxy VPN services (collectively, the "Services"). This AUP is designed to protect our clients, our network, and the broader internet community. By using our Services, you agree to comply with this AUP.

1. General Conduct

Clients are expected to use the Services responsibly and lawfully. Any activity that violates applicable laws, regulations, or the rights of others is strictly prohibited.

2. Prohibited Uses

You agree not to use the Services for, or to facilitate, any of the following activities:

  • Illegal Activities: Any activity that is illegal under the laws of the United States, the State of Nevada, or any jurisdiction where the Services are accessed or where your data is stored. This includes, but is not limited to:
    • Child pornography or any content depicting the sexual abuse of minors.
    • Terrorist activities or promoting terrorism.
    • Fraud, phishing, or identity theft.
    • Distribution of illegal drugs, weapons, or other contraband.
    • Violation of export control laws.
  • Spamming/Unsolicited Email: Sending unsolicited bulk email (UBE), unsolicited commercial email (UCE), or any other form of "spam." This includes, but is not limited to, sending mass unsolicited emails, email harvesting, or operating an an open SMTP relay.
  • Network Abuse: Any activity that interferes with or disrupts Host443's network, services, or equipment, or the networks, services, or equipment of any third party. This includes, but is not limited to:
    • Distributed Denial of Service (DDoS) attacks or participation in DDoS attacks.
    • Port scanning, network probing, or vulnerability scanning without explicit prior written consent from the target.
    • Interfering with or circumventing security measures of any system or network.
    • Any activity that imposes an unreasonable or disproportionately large load on our infrastructure.
  • Intellectual Property Infringement: Hosting, transmitting, or distributing any content that infringes upon the intellectual property rights of others, including copyrights, trademarks, patents, trade secrets, or other proprietary rights.
  • Malware and Viruses: Distributing, hosting, or linking to malware, viruses, worms, Trojan horses, or any other destructive or disruptive code or programs.
  • Phishing and Scams: Hosting or promoting phishing schemes, pyramid schemes, Ponzi schemes, or any other fraudulent activities.
  • Resource Abuse: While our services are dedicated, any activity that intentionally or negligently causes excessive strain on our network or shared infrastructure (e.g., DNS servers, routing equipment) beyond reasonable dedicated use.

3. Permitted Content

Host443 is committed to providing a platform for diverse and private online activities. Therefore, the following content is generally permitted, provided it complies with all other aspects of this AUP and all applicable laws:

  • Legal Adult Content: Hosting of legal adult content (e.g., pornography, erotic art) is permitted, provided it is not illegal in any jurisdiction where it is hosted or accessed, and it does not involve child exploitation, non-consensual acts, or any other illegal activities.

4. Compliance with Laws

You are solely responsible for ensuring that your use of the Services complies with all applicable local, state, national, and international laws, including but not limited to, data privacy laws (e.g., GDPR, CCPA), export control laws, and intellectual property laws.

5. Reporting Violations

If you become aware of any violation of this AUP, please report it immediately to us at abuse@host443.com. Please provide as much detail as possible, including relevant IP addresses, timestamps, and logs, to assist in our investigation.

6. Consequences of Violation

Host443 reserves the right to take any and all actions it deems appropriate in response to violations of this AUP, including, but not limited to:

  • Issuing warnings.
  • Suspending or terminating Services without refund.
  • Removing or disabling access to offending content.
  • Reporting illegal activities to appropriate law enforcement agencies.
  • Charging administrative fees for handling AUP violations.

Host443's failure to enforce this AUP in every instance does not amount to a waiver of our rights.

7. No Monitoring

Host443 does not actively monitor the content or activities on its clients' dedicated servers or storage devices. However, we reserve the right to investigate any suspected violation of this AUP or our Terms of Service, including by reviewing your server logs or other relevant information, in response to a complaint or a legal request.

8. Changes to the AUP

Host443 reserves the right to modify this AUP at any time. We will notify you of any changes by posting the updated AUP on our website. Your continued use of the Services after such modifications constitutes your acceptance of the revised AUP.

Service Level Agreement (SLA)

Our commitment to uptime and service availability.

This Service Level Agreement ("SLA") outlines Host443's ("we," "us," or "our") commitment to providing reliable service availability for our dedicated hosting, GPU server, dedicated storage, and reverse proxy VPN services (collectively, the "Services"). This SLA is incorporated by reference into our Terms of Service. It details the uptime guarantees and the process for requesting service credits in the event of a breach of these guarantees.

1. Definitions

  • "Covered Services": Refers to the dedicated server, GPU server, dedicated storage, and reverse proxy VPN services provided by Host443.
  • "Downtime": Refers to any period during which a Covered Service is unavailable to the Client due to a failure within Host443's controlled infrastructure (power, network, or core hardware failure). Downtime is measured in minutes.
  • "Monthly Uptime Percentage": Calculated as total minutes in a calendar month minus total Downtime minutes, divided by total minutes in a calendar month, expressed as a percentage.
  • "Service Credit": A monetary credit, calculated as a percentage of the monthly fee for the affected Covered Service, which may be applied to future invoices.

2. Uptime Guarantee

Host443 guarantees the following Monthly Uptime Percentages for our Covered Services:

  • Network Uptime: 99.9% - We guarantee that our network infrastructure will be available 99.9% of the time in any given calendar month.
  • Power Uptime: 99.9% - We guarantee that power to your dedicated server will be available 99.9% of the time in any given calendar month.
  • Core Hardware Uptime: 99.9% - We guarantee that the core hardware (CPU, RAM, storage drives, network card) of your dedicated server will be operational 99.9% of the time in any given calendar month. This excludes issues caused by client software configurations.

3. Exclusions from Downtime

The following are NOT considered Downtime for the purpose of this SLA and will not count towards a Service Credit claim:

  • Scheduled maintenance, upgrades, or repairs, provided that Host443 provides reasonable prior notice (typically 24-48 hours).
  • Downtime caused by factors outside of Host443's reasonable control, including but not limited to, force majeure events (e.g., natural disasters, acts of war, terrorism), internet backbone failures not within Host443's network, or governmental acts.
  • Downtime caused by Client's actions or inactions, including but not limited to, misconfigurations, custom software issues, operating system failures, excessive resource usage beyond allocated limits, or third-party attacks (e.g., DDoS) that overwhelm Client's service despite Host443's network defenses.
  • Downtime resulting from Client's equipment, applications, or third-party software.
  • Suspension or termination of Services due to AUP violations, non-payment, or other breaches of the Terms of Service.
  • Any performance or availability issues that are not reported by the Client within 72 hours of the incident.

4. Service Credits

If Host443 fails to meet the Monthly Uptime Percentage guarantee for a Covered Service, the Client may be eligible for a Service Credit as follows:

  • 99.0% to 99.89% Uptime: 5% of the monthly fee for the affected Service.
  • 97.0% to 98.99% Uptime: 10% of the monthly fee for the affected Service.
  • Below 97.0% Uptime: 25% of the monthly fee for the affected Service.

The maximum Service Credit awarded in any single calendar month for a Covered Service will not exceed 25% of the monthly fee for that Service.

5. Service Credit Request Procedure

  • To receive a Service Credit, the Client must submit a request via email to support@host443.com within seven (7) business days of the end of the calendar month in which the Downtime occurred.
  • The request must include:
    • The Client's account number and affected service ID.
    • The dates and times of the Downtime periods.
    • A brief description of the incident.
  • Host443 will review the request and verify the Downtime using its own monitoring systems. Our determination of Downtime is final.
  • Approved Service Credits will be applied to the Client's next invoice. Service Credits are for future use only and are not convertible to cash.

6. Limitations

  • This SLA is your sole and exclusive remedy for any Downtime or failure by Host443 to meet the uptime guarantees.
  • This SLA does not apply to any services not explicitly listed as Covered Services.
  • Service Credits apply only to the monthly recurring fees for the affected Covered Service and do not apply to any one-time charges, setup fees, or additional services.

7. Changes to the SLA

Host443 reserves the right to modify this SLA at any time. We will notify you of any changes by posting the updated SLA on our website. Your continued use of the Services after such modifications constitutes your acceptance of the revised SLA.
